Terms of sale and licence

These terms cover buying and using Garden. Garden is made by Khushin Patel and sold through Lemon Squeezy, the merchant of record. Lemon Squeezy handles the payment, receipt, and sales tax.
1. What you are buying
For $29 during the founding sale, you receive a perpetual licence to the Garden application. This is not a subscription. You may keep and run the compatible copy you bought without an ongoing payment or internet connection.
The licence is for one person, for personal use, on that person's own devices. The application has no device counter or activation server, so it does not enforce a numerical device limit.
2. Updates
Every signed licence key contains an updates_until date.
updates as part of the sale. The current key format represents that promise with an update-through date 100 years after issue.
After that window, the installed application keeps working. Continued access to newer builds may be sold as an optional renewal.

- Licences bought from 1.0 onward include twelve months of application updates.
An expired update window does not disable features or invalidate the signature on the key. The current app displays whether a build falls inside the key's window. On launch, however, the desktop updater checks the public update feed without consulting that result, so the current software can still offer a newer build after the date. The update entitlement above is a term of the sale; Garden does not claim that the current updater mechanically enforces it.
3. The application and server services are different things
The perpetual licence covers the Garden application. It does not promise perpetual free operation of services that require Garden's Worker or a paid data provider.
Garden currently has three connected paths:

not collect that payment. Every request to your bridge — claiming your setup token, the first import, and every later refresh — goes through Garden's relay. Your access URL is the credential, it is stored encrypted in your vault, and the relay sees it in order to make the request on your behalf.

Garden works without any of them: you can enter records and import statements locally.
4. Offline licence verification
A licence key is a signed payload. Garden verifies its Ed25519 signature on the device against a public key built into the application. The verification path makes no network request: no online activation, periodic re-check, device registration, or revocation list.
The desktop application separately checks Garden's update feed on launch. That request is not a licence check and does not send the licence key.
Garden has no application user account. It does keep the limited purchase and key-recovery records described in the privacy policy, and it can receive the optional usage-count events listed there. A lost key can be re-sent through the site using the purchase email, but the application itself cannot look up or deactivate somebody else's key.
5. Your data
Manual records and imported statements stay on the device when optional sync is off. Garden does not upload them merely because you type or import them.
Two choices send financial data over the network:
the ciphertext, pairing code, and revision to its Worker. The Worker stores the opaque blob and cannot decrypt it.
and, for the paths described in the privacy policy, Garden's relay. Provider credentials and readable account, balance, and transaction data pass through the relay; the relay code does not persist or deliberately log them.

Plaid and SimpleFIN are third parties with their own privacy policies. The privacy policy describes the direct and relayed steps, what each provider receives, and what disconnecting does not delete.
6. Prices
Prices for new licences and optional services can change. A change to the price of a new licence does not create another charge for a perpetual licence you have already bought.
7. If you lose your key
Use the recovery form on the site. The address you enter is matched against a salted hash of the purchase email, and a matching key is sent only to that same address through Resend. Recovery is rate-limited. Garden cannot redirect the key to a different address through that form.
8. Refunds
The refund policy offers a refund request within 30 days. A refund does not revoke the offline key, delete local data, or delete an encrypted sync blob.
9. Tax and financial output — read this before using it
Garden is not tax, legal, or financial advice. No CPA or other tax professional has reviewed or approved Garden's code, calculations, or output.
Garden currently produces documents from records you enter, including SBA Form 413, Form W-9, Schedule C, and Schedule SE. Its catalogue also describes Form 8829 and Form 1040-ES, but the current app does not generate those two forms.
Garden does not review or e-file a tax return and is not a substitute for a CPA, enrolled agent, or attorney. No government agency has reviewed, approved, or endorsed Garden or its output. You are responsible for checking every number, using the revision the recipient requires, and deciding what to file or send. Read the financial disclaimer before using any output.
10. Warranty and liability
Garden is provided as is, without warranty of any kind. To the fullest extent permitted by law, liability for any claim relating to Garden is limited to the amount you paid for the licence.
Nothing in these terms limits a consumer right that applicable law does not allow these terms to limit.
11. What you may not do
Do not redistribute or resell Garden, publish your licence key, or remove the disclaimer from a document Garden produces. You may run Garden on your own devices, keep backups, and export your data.
12. Changes to these terms
Changes are dated at the top of this page. A later change will not turn an already-purchased perpetual application licence into a subscription or shorten the update window sold with it.
